Derivatives Trading and Financial Markets Disputes

Unit of Risk Legal Advisors represents clients in matters arising from derivatives trading, market-structure issues, risk-model failures, and incentive-driven financial disputes. Founder John Netto brings more than twenty years of experience designing macro trading frameworks, risk architecture, and event-driven strategies—including prior registrations as

  • Series 3 futures professional,
  • Commodity Trading Advisor (CTA),
  • Commodity Pool Operator (CPO),
  • Independent Introducing Broker,
  • NFA associated person, and
  • Series 65 Investment Adviser Representative.

Mr. Netto has presented as a derivatives trader for the CME Group, Eurex, and ICE/NYSE, and was commissioned by Eurex to write a white paper on equity index spread trading (available upon request). Profiled in Jack Schwager’s “Unknown Market Wizards,” he offers uncommon insight into how trading decisions are made, how to measure and articulate alpha, and how to translate complex financial events into clear legal narratives.

Structured Finance & Institutional Transactions

Unit of Risk Legal Advisors advises sophisticated investors and emerging platforms on complex transactional and structured finance matters, serving as coordinating counsel across multi-firm deal teams on institutional transactions.

Our work includes:

  • Structured finance coordination—conduit vehicles, forward flow purchase arrangements, warehouse facility documentation, and alternative asset securitization structures including REMIC and debt-for-tax frameworks
  • Delaware Statutory Trust formation and governance for business and investment purposes, including special purpose vehicles in structured transactions
  • Nevada trust and entity formation, including business trusts under NRS Chapter 88A, directed trusts, dynasty trusts, and asset protection structures
  • Multi-party engagement management across specialized outside counsel on sophisticated credit facilities and alternative investment transactions

We work alongside specialized outside counsel on matters involving structured finance, alternative investment vehicles, and institutional credit facilities—serving as a trusted coordinating presence and single point of contact for clients who need sophisticated legal support.

Trust Creation and Estate Planning

Nevada is one of the most favorable jurisdictions in the country for trust-based asset protection—with no state income tax, robust spendthrift provisions, and some of the strongest creditor protection statutes available to high-net-worth individuals and business owners.

Unit of Risk Legal Advisors brings a distinctive perspective to trust and estate planning. Founder John Netto spent two decades on Wall Street architecting risk structures for sophisticated investors and institutions. That background, combined with J.D. and MBA coursework in tax law, accounting, and financial reporting, translates directly into estate planning—because protecting what you have built is fundamentally a risk management problem.

The firm assists clients in drafting:

  • Revocable and irrevocable living trusts
  • Asset protection trusts
  • Wills and pour-over wills
  • Powers of attorney
  • Healthcare directives and advance directives

We work alongside outside counsel, financial advisors, and other specialists to ensure that your estate plan is coherent across legal, tax, and financial dimensions—and built to hold up when it matters most.

FINRA and Multijurisdictional Local Counsel Support

Unit of Risk Legal Advisors provides Nevada-licensed local counsel support for FINRA arbitrations and other multijurisdictional matters involving Nevada clients, Nevada law, or proceedings seated in Nevada.

We are available to work with out-of-state attorneys who remain lead counsel on their matters and require a Nevada-licensed attorney to serve as local counsel, regulatory anchor, or supervising attorney to support compliance with Nevada ethics rules, unauthorized-practice safeguards, and Nevada-specific legal requirements.

In addition to Nevada licensure, Unit of Risk Legal Advisors brings deep subject-matter experience to financially complex matters. Our principal has more than 25 years of experience in global financial markets, including derivatives, risk management, and market structure. This background positions us to engage substantively with the economic, trading, and damages issues that often arise in FINRA arbitrations and other securities-related disputes.

Financial Reporting - Loss Contingency Litigation

Accounting Standards Codification 450 (ASC 450) governs how companies disclose potential losses arising from litigation, regulatory exposure, and uncertain financial events, making these matters both legally and financially complex. Unit of Risk Legal Advisors provides legal analysis on matters involving

  • loss-contingency disclosure mechanics under ASC 450
  • probability classification of litigation exposure (remote, reasonably possible, probable)
  • accrual thresholds and estimability analysis
  • the intersection of litigation strategy and financial reporting obligations

Founder John Netto brings approximately twenty-five years of experience designing macro trading frameworks and evaluating event-risk scenarios, with graduate-level coursework in financial reporting and entity taxation. That academic work included detailed analysis and writing on ASC 450 disclosure obligations (white paper available upon request), and he is scheduled to present on ASC 450 at MoneyShow conferences throughout 2026. ASC 450 is a nationally applied accounting standard, and the firm's analysis supports counsel and clients in any jurisdiction where loss-contingency disclosures intersect with litigation or financial reporting pressures.

Real Estate Option Structuring & Contract Drafting

Real estate option agreements are privately negotiated derivatives contracts that transfer timing risk, price risk, and decision rights between property owners and prospective buyers. Unit of Risk Legal Advisors assists clients in analyzing, structuring, and drafting these agreements with the precision they require, ensuring the terms, contingencies, and exercise mechanics reflect the parties’ actual intentions and withstand legal scrutiny.

Founder John Netto brings a depth of experience uncommon in real-estate transactions: more than twenty years designing and trading option structures in global macro markets, including

  • volatility strategies
  • gamma scalping around economic events
  • complex option spreads
  • narrative-driven option positioning.

As the author of The Global Macro Edge, which includes multiple chapters on the use of options to express macro views, and as a former CTA/CPO who managed derivatives portfolios through event-risk cycles, Mr. Netto applies a practitioner’s understanding of optionality, convexity, and incentive alignment to real-estate option mechanics. His MBA coursework in economics, data modeling, and financial analysis further supports structuring strike logic, valuation protections, and timing provisions.

Civil Litigation and Family Law Discovery Matters

John Netto’s experience working in chambers as a judicial extern for the Eighth Judicial District’s Discovery Commission provides uncommon insight into how discovery disputes unfold. This perspective allows the firm to help clients leverage the contours of the Nevada Rules of Civil Procedure to build effective offensive and defensive discovery strategies and to understand when to press for compliance, compel action, or protect a client’s privacy.

This support is provided as discovery consulting and strategy development; full litigation representation may be referred out as appropriate.

Appellate Advocacy

Unit of Risk Legal Advisors assists clients and referring counsel with appellate and extraordinary writ matters, including Nevada Rules of Appellate Procedure 40 petitions for rehearing and petitions for writ of mandamus and writ of prohibition. Drawing on founder John Netto’s experience working in chambers as a judicial extern for the Nevada Supreme Court, the firm approaches appellate work with a disciplined understanding of how appellate judges evaluate records, assess alleged error, and view requests for extraordinary relief. Services include helping determine whether writ relief is appropriate, identifying and preserving viable appellate issues, framing the record, and developing precise, strategically focused briefing grounded in clear legal analysis and coherent narrative structure.

Fund Formation and Trading-Related Intellectual Property Protection

Unit of Risk Legal Advisors assists emerging managers and trading professionals with the legal architecture surrounding the formation and operation of investment-related entities. Founder John Netto brings two decades of market experience—including prior roles as a Series 3 futures professional, CTA, CPO, Independent Introducing Broker, NFA registrant, and Series 65 investment adviser representative—providing practical insight into trading workflow, operational risk, and incentive alignment. The firm focuses on

  • entity formation
  • governance structures
  • partnership arrangements
  • management agreements
  • intellectual-property protection for proprietary strategies

Unit of Risk Legal Advisors coordinates with specialized securities counsel whenever securities filings or regulatory compliance are required.

General Legal Guidance & Strategic Intake

If you have a legal issue that falls outside these practice areas, Unit of Risk Legal Advisors remains available as your first point of contact. The firm is willing to discuss your situation and help you identify the appropriate path forward, whether through direct representation or referral to trusted counsel. Mr. Netto has extensively studied Japanese, Chinese, Portuguese, and Spanish. While all legal work is conducted in English, this linguistic background strengthens the firm’s capacity to serve clients with cross-cultural business, financial, or legal considerations.

Litigation Claim Recovery Concierge

Unit of Risk Legal Advisors supports investors in identifying and accessing compensation from finalized class-action and regulatory settlements involving financial markets, trading practices, or structured products. Many market participants are unaware that they may be eligible for distributions arising from settlements related to benchmark manipulation, spoofing, antitrust coordination, or other market-structure violations.

The firm's founder, John Netto, has extensive personal experience with multiple settlement recoveries and can walk clients through the practical realities of the process, from understanding eligibility categories to organizing historical trading records. This firsthand perspective helps clients see that what feels like a forgotten asset, such as past brokerage statements or custodial trade logs, may in fact have material value.
